JD SECURITY SERVICE TERMS AND CONDITIONS
- “JD Security”, “J D Security”, “Virgo Security Services”, and “Western Plains Security Electronics” each refer to John Derek Security Pty Ltd (ABN 81 002 715 648, NZBN 9429 0423 92521) and include its successors and assigns.
- Unless previously withdrawn, any quotation issued by the Company is valid for 30 days from the date shown. Installation work must be formally accepted via the quotation acceptance form.
For service or maintenance work not covered by a formal quotation, these Terms and Conditions apply upon the Customer requesting or authorising the Company to proceed, whether in writing, verbally, or via purchase order.
Unless amended in writing, the agreement between the parties shall be governed by these Terms and Conditions and applicable legislation. - Unless amended in writing, the agreement between the parties shall be governed by these Terms and Conditions, except to the extent that any provision is inconsistent with applicable law, in which case the law shall prevail.
- The equipment priced is the equipment described within the quotation.
- The price quoted is based on current award wages, current rates for freight, insurance, customers and other duties and taxes, delivery charges and charges made by suppliers in respect of the equipment. In the event of there being changes in the said wages, rates, duties, taxes or charges after the date of quotation the Company reserves the right to increase the price by such amount as it deems necessary to take account of such changes, notwithstanding that the quotation may already have been accepted by the purchaser.
- The price quoted is based on the work being carried out during normal working hours, 07.00am – 03.30pm Monday – Friday, and the Company reserves the right to increase the price by such amount as it deems necessary to take account of any requirement by the purchaser that the work or any part thereof be carried out outside normal working hours.
- If the company is subjected to increased costs attributable to delays caused by the failure of the purchaser or servants, agents or contractors, for whom the purchaser is responsible to meet their respective obligations it reserves the right to increase the amount by such amount as it deems necessary to take account of such increased costs.
- In the event of the Purchaser seeking to vary the work or the equipment to be supplied the Purchaser will be required to sign an acknowledgement of the terms and conditions upon which the work is to be performed or the equipment to be supplied and the price of such variations. The company reserves the right to perform any such work or to supply further or other equipment.
- Prior to commencement of any works at the site, the Purchaser shall pay a deposit as outlined in payment terms on the acceptance of quotation page being a percentage of the price quoted and the balance of the purchase price will be payable on completion of installation of the equipment. Progressive payment invoices may be issued by the company for work done during the course of the installation. Unless otherwise stated all invoices will be due within 30 days of invoice.
- JD Security reserves the right to cease work if payment terms are not met and any damages will be borne by purchaser.
- Until payment in full of the purchase price, ownership of the equipment will remain with the Company.
- From the time of the delivery of the equipment to the Purchaser’s premises the equipment shall be at the Purchaser’s risk absolutely.
- A restocking fee of 20% of the price quoted will be charged if the Purchaser cancels the order within 72 hours of the agreed time of installation.
- Unless specifically included in the quotation, the following items are excluded from the scope of works and will be charged separately if required:
- Site & Building Works
- Saw cutting, core drilling, trenching, excavation, tipping fees, concrete or bitumen works;
- Council permits, approvals, certifications, and associated fees;
- Marking, protection or repair of existing services;
- Traffic control and isolations of services such as power, water or gas.
- Access Equipment & Lifting
- Scissor lifts, boom lifts, man lifts, cranes or other elevated work platforms (EWPs);
- Site amenities including toilets, water access and parking.
- Security-Related Items
- Locksmith services, door hardware, mortice locks, and handle sets;
- Guard or patrol hire during installation works;
- As-built plans, drawings, O&M manuals or schematics unless noted otherwise.
- Commercial Terms
- Liquidated damages, contract penalties, or time-based incentives;
- Bank guarantees, retentions, or contract-specific financial securities.
- Third-Party Infrastructure & Existing Conditions
- Unsuccessful attempts at cabling through existing underground conduits;
- JD Security is not responsible for the performance, configuration, or security of the Customer’s network infrastructure, including switches, routers or firewalls, unless expressly included in the quotation.
- Reuse of customer-supplied or pre-existing cabling and equipment.
- Functional Scope Limitations
- Monitoring is excluded unless explicitly stated. If required, the Purchaser must execute JD Security’s separate Monitoring Agreement (fixed term, issued via DocuSign) before any system will be connected to a monitoring centre. Until that agreement is executed, the system will operate in local alarm mode only, and JD Security accepts no liability for missed events or notifications.
- Unless expressly included in the quotation, JD Security does not supply or install mains power. The Purchaser must engage a licensed electrician to install a dedicated 240 V AC general-purpose outlet (GPO) within one metre of the equipment location. All electrical work must comply with AS/NZS 3000:2018 Wiring Rules (including Amendment 3:2023) and any other applicable New Zealand Standards. JD Security does not certify, test or maintain any power outlet or circuit.
- Commissioning tests are performed at practical completion. Ongoing testing, firmware/software updates, backups and fault rectification are excluded unless expressly included in the quotation. These services are available under a separate Maintenance Agreement. The Purchaser acknowledges that regular maintenance is essential for reliable operation and regulatory compliance.
- JD Security applies manufacturer-recommended hardening at installation (e.g. password changes, disabling default remote services). Ongoing cybersecurity measures such as firewall configuration, network segmentation, vulnerability scanning and patch management remain the Purchaser’s responsibility unless otherwise agreed in writing. JD Security accepts no liability for unauthorised access via the Purchaser’s network.
- Site & Building Works
- Where requested, excluded items may be arranged by the Company and will be charged at the Company’s incurred cost plus a 15% administration margin.
- JD Security will not be liable whatsoever for:
- any loss or damage caused to the Customer including but not limited to mechanical breakdown, storm, pandemic, earthquake, strikes, lockouts, labour disputes, of whatever type, Act of God, war (whether declared or not), acts of terrorism, act (administrative or legislation) of any Government, riot or civil commotion, fire, explosion, act or omission by the Customer, its servants, agents or invitees;
- any loss or damage suffered by the Customer except so far as such loss or damage is solely attributable to the negligence of JD Security or any of its employees acting within the scope of their employment, servants, contractors and agents; or
- any delays by the Customer which shall cause automatic suspension of JD Security’s obligations under the Contract
- Nothing in these Terms excludes, restricts, or modifies any rights the Purchaser may have under the Competition and Consumer Act 2010 (Cth) or any other applicable legislation that cannot be excluded by law.
- Where the goods or services supplied are not of a kind ordinarily acquired for personal, domestic, or household use or consumption, JD Security’s liability for failure to comply with a consumer guarantee is limited, at its option, to:
- in the case of goods:
- the replacement of the goods or the supply of equivalent goods;
- the repair of the goods;
- the payment of the cost of replacing the goods or of acquiring equivalent goods; or
- the payment of the cost of having the goods repaired; and
- in the case of services:
- the supplying of the services again; or
- the payment of the cost of having the services supplied again.
- in the case of goods:
- The Customer hereby indemnifies JD Security with respect to any loss, damage, costs or expenses suffered by JD Security directly or indirectly in connection with or arising out of the performance by JD Security of its obligations under this Contract due to the fault of the Customer including, without limitation, any claims by any client of the Customer.
- The Customer hereby indemnifies and will keep indemnified JD Security against all losses, costs, and expenses suffered by JD Security, and all demands, actions, suits or claims made against it, arising directly or indirectly from the failure of the alarm system, control equipment, communications device, or any associated network connection to operate or perform as intended.
- The Customer agrees that no advice or information, whether oral or written, obtained by the Customer from JD Security or through or from the Monitoring Service shall create any warranty not expressly stated in this Contract.
- The Customer agrees that JD Security will not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use of data or other intangible losses (even if JD Security has been advised of the possibility of such damages).
- Clauses 16, 17, 18, 19, 20 and 21 survive termination of this contract.
- The Purchaser acknowledges and agrees that the purchase and installation of the equipment is in addition to and not intended to take the place of other usual security precautions and insurances.
- The Company does not represent that any or all of its products, services, buildings, equipment or personnel comply in part or in full with any written standard regulation or requirement of any Association, Government or other body.
- JD Security provides no warranty, express or implied, in relation to any equipment or goods that were not supplied, installed, or serviced by JD Security. The Customer acknowledges that JD Security is not responsible for the performance, reliability or compliance of any third-party systems, components, or workmanship.
- The failure by the Company to enforce at any time any of the terms and conditions hereof or any right arising from thereunder shall not be construed as a waiver of the same, or of its right thereafter to enforce at any time each and every provision hereof.
- This quotation, these Terms and Conditions, and any agreement to which they apply shall be governed by and construed in accordance with the laws of the Australian State or Territory, or of New Zealand, in which the work is performed.
- Should any term be unenforceable or invalid that term shall be considered, to the extent of such unenforceability or invalidity, independently of and severable from any other term contained herein and shall not effect the enforceability or validity of any other term hereof.
- JD Security warrants all equipment supplied and its workmanship for 12 months from completion of installation. Warranty remedies are limited, at JD’s option, to replacement, repair, or resupply of the goods or services. No warranty applies to items not supplied, installed or serviced by JD Security.
- No claim may be commenced after the warranty period has expired.
- JD Security may terminate the contract immediately if the Purchaser breaches payment terms or other obligations. On termination, the Purchaser must pay for all work completed and costs incurred to date.
- All quotations, drawings, software, data and system configurations remain JD Security’s property and may not be disclosed without written consent.
- Purchaser must provide safe and reasonable access during normal working hours and keep all security information confidential.
- JD Security and the Purchaser must each comply with all applicable Work Health and Safety legislation, regulations and codes of practice in the jurisdiction where the work is performed.
The Purchaser agrees to provide a safe workplace, complete any required inductions and supply site specific WHS documentation upon request. JD Security may suspend work if safe conditions are not maintained. - Purchaser must maintain adequate public‑liability and property insurance for the installation period and provide certificates on request.
- JD Security is not liable for failure or delay caused by events beyond its reasonable control, including natural disasters, strikes, war, terrorism or government actions.
- Notices may be served by registered post or email. Service is deemed effective two business days after posting, or on successful delivery to the recipient’s designated email address.
